1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and RelayOps ("Company", "we", "us", "our") governing your access to and use of the RelayOps platform, website, and services (collectively, the "Services").
BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use the Services.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Continued use of the Services after changes constitutes acceptance of the modified Terms.
2. Eligibility
To use RelayOps, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Operate a legitimate e-commerce business
- Not be prohibited from using the Services under applicable laws
- Provide accurate and complete registration information
By creating an account, you represent and warrant that you meet these eligibility requirements.
3. Account Registration and Security
3.1 Account Creation
You must create an account to access certain features of the Services. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized access or security breach
- Accept responsibility for all activities that occur under your account
3.2 One Account Per Business
Each business entity may maintain only one active account. Creating multiple accounts to circumvent plan limitations or for fraudulent purposes is strictly prohibited and may result in immediate termination.
4. Service Description
RelayOps provides a shipping management platform that enables users to:
- Connect and synchronize Shopify and WooCommerce stores
- Integrate with courier services (TCS, Leopards Courier, BlueEx)
- Book shipments in bulk through courier APIs
- Generate shipping labels and manifests
- Track shipment status and sync updates to stores
- Access analytics and reporting features
- Manage team members with role-based permissions
The specific features available depend on your selected subscription plan.
5. Subscription, Payment, and NO REFUNDS
5.1 Subscription Plans
We offer multiple subscription plans (Starter, Growth, Enterprise) with varying features and limitations. You may upgrade or downgrade your plan at any time, with changes taking effect at the start of the next billing cycle.
5.2 Payment Terms
- Subscription fees are billed monthly or annually in advance
- Payment must be made using a valid payment method
- You authorize us to charge your payment method for all fees incurred
- All fees are quoted in Pakistani Rupees (PKR) unless otherwise stated
- Subscription fees do not include applicable taxes, which are your responsibility
5.3 NO REFUNDS POLICY
ALL SUBSCRIPTION FEES ARE FINAL AND NON-REFUNDABLE. We do not provide refunds or credits for:
- Partial subscription periods
- Unused features or services
- Account cancellations or downgrades
- Service dissatisfaction or change of mind
- Technical issues or service interruptions (except as specified in our SLA)
- Third-party failures (courier APIs, store platform outages)
BY SUBSCRIBING TO ANY PAID PLAN, YOU ACKNOWLEDGE AND AGREE TO THIS NO-REFUND POLICY. Please carefully review plan features and limitations before subscribing. We recommend starting with our free Starter plan to evaluate the Service before committing to a paid subscription.
5.4 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate.
5.5 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- You will retain access to paid features until the end of your current billing period
- No refund will be issued for the remaining subscription period
- Your account will automatically downgrade to the free Starter plan (if applicable)
- Data exceeding free plan limits may become inaccessible
5.6 Failed Payments
If payment fails, we will attempt to charge your payment method multiple times. Continued payment failure may result in account suspension and loss of access to paid features.
6. User Responsibilities and Obligations
6.1 Lawful Use
You agree to use the Services only for lawful purposes and in compliance with:
- All applicable local, national, and international laws and regulations
- Courier service terms and conditions
- E-commerce platform (Shopify, WooCommerce) terms of service
- Our Acceptable Use Policy
6.2 Credential Security
You are solely responsible for:
- The security and confidentiality of your courier API credentials
- Ensuring you have proper authorization to connect stores and courier accounts
- Any charges incurred through courier services booked via RelayOps
- Verifying the accuracy of shipment details before booking
6.3 Data Accuracy
You are responsible for ensuring the accuracy of all customer information, shipping addresses, product details, and order data. RelayOps is not liable for failed deliveries, returns, or losses resulting from inaccurate data provided by you or synced from your stores.
7. Prohibited Activities
You shall NOT:
- Use the Services to ship illegal, prohibited, or restricted items
- Engage in fraudulent activities, including COD fraud or payment fraud
- Abuse courier services or attempt to manipulate tracking systems
- Attempt to reverse engineer, decompile, or extract source code from the platform
- Use automated scripts or bots to access the Services in a manner that exceeds reasonable usage
- Interfere with or disrupt the Services or servers
- Violate any third-party rights, including intellectual property rights
- Impersonate any person or entity or misrepresent your affiliation
- Transmit viruses, malware, or any harmful code
- Access another user's account without permission
8. Disclaimers and Limitation of Liability
8.1 Third-Party Service Disclaimer
RelayOps is an intermediary platform that facilitates integration with third-party services. We do NOT:
- Operate courier services or control delivery operations
- Guarantee courier API availability, accuracy, or performance
- Assume liability for shipment delays, losses, damages, or failures
- Control or guarantee the availability of Shopify, WooCommerce, or other integrated platforms
- Guarantee uninterrupted or error-free service
8.2 Courier Integration Disclaimer
We integrate with courier services (TCS, Leopards, BlueEx) via their public APIs. We are NOT responsible for:
- Courier API downtime, changes, or discontinuation
- Failed bookings due to courier system errors
- Delivery delays, lost packages, or damaged shipments
- Courier service quality or customer service
- Courier pricing changes or additional charges
- Disputes between you and courier companies
All shipping-related disputes must be resolved directly with the respective courier service.
8.3 COD Reconciliation Disclaimer
COD reconciliation data provided by RelayOps is for informational purposes only and is sourced from courier APIs. We do NOT:
- Guarantee the accuracy of COD collection data
- Assume liability for COD discrepancies or losses
- Mediate disputes regarding COD payments
You must verify all COD collections directly with your courier providers.
8.4 "AS IS" Service
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, either express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of uninterrupted or error-free service
- Warranties of data accuracy or completeness
- Warranties of security or freedom from viruses
8.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RelayOps SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions or data loss
- Third-party actions or failures (couriers, e-commerce platforms)
- Unauthorized access to your account or data
OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR PKR 10,000, WHICHEVER IS LESS.
9. Intellectual Property Rights
9.1 Our Property
All rights, title, and interest in the Services, including software, design, trademarks, logos, and content, are owned by RelayOps. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for your business purposes.
9.2 Your Data
You retain all rights to your business data, customer information, and content. By using the Services, you grant us a license to use, process, and store your data solely to provide the Services as described in our Privacy Policy.
10. Termination
10.1 Termination by You
You may terminate your account at any time by contacting support or through account settings. Upon termination, you will lose access to the Services, and your data will be deleted after a 30-day grace period.
10.2 Termination by Us
We reserve the right to suspend or terminate your account immediately, without notice, if you:
- Violate these Terms or our Acceptable Use Policy
- Engage in fraudulent or illegal activities
- Fail to pay subscription fees
- Pose a security risk to the platform or other users
No refunds will be issued for terminations due to Terms violations.
10.3 Effect of Termination
Upon termination, all licenses and rights granted to you will immediately cease. Sections of these Terms that should survive termination (including payment obligations, liability limitations, and dispute resolution) will remain in effect.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to conflict of law principles.
11.2 Dispute Resolution
In the event of any dispute arising from these Terms or the Services:
- You agree to first contact us at support@relayops.com to attempt informal resolution
- If informal resolution fails, disputes shall be resolved through binding arbitration in Pakistan
- The courts of Pakistan shall have exclusive jurisdiction
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
13. Miscellaneous
13.1 Entire Agreement
These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and RelayOps.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.
13.3 Waiver
Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
